Ygeia Affiliate Program Agreement

Effective Date: August 2026

This YGEIA Affiliate Program Agreement (“Agreement”) sets forth the terms and conditions governing participation in the YGEIA Affiliate Program (“Program”) operated by YGEIA (“YGEIA,” “we,” “us,” or “our”).

By applying to, participating in, or promoting YGEIA through the Program, the affiliate (“Affiliate,” “you,” or “your”) agrees to be bound by this Agreement.

1. THE YGEIA AFFILIATE PROGRAM

The YGEIA Affiliate Program allows approved individuals, creators, publishers, influencers, partners, and other promotional partners to earn commissions by referring customers to YGEIA through an approved affiliate link, referral link, or other tracking method provided by YGEIA.

Participation in the Program is subject to approval by YGEIA.

YGEIA reserves the right to accept or reject any application at its sole discretion.

2. AFFILIATE COMMISSION

Approved Affiliates will receive a commission equal to:

10% of Qualifying Sales

A “Qualifying Sale” means a completed purchase made by a customer through the Affiliate’s approved referral link, referral code, or other officially recognized referral method.

Unless otherwise stated by YGEIA, the commission is calculated based on the net product sales amount actually paid by the customer, excluding:

  • Shipping and delivery charges
  • Taxes, duties, or customs fees
  • Discounts or promotional amounts
  • Refunded or cancelled orders
  • Chargebacks or fraudulent transactions
  • Any other amounts that YGEIA determines are not eligible for commission

YGEIA may modify the commission structure for future transactions by providing reasonable notice to Affiliates.

3. COMMISSION ATTRIBUTION

A sale will be attributed to an Affiliate when the sale is successfully tracked through the Affiliate's approved referral link, referral code, or other tracking technology used by YGEIA.

YGEIA's affiliate tracking system and records will be considered the primary source for determining whether a commission is payable.

YGEIA is not responsible for commissions that cannot be tracked due to circumstances outside of YGEIA's reasonable control, including browser settings, deleted cookies, ad blockers, incorrect referral links, or technical issues.

4. COMMISSION APPROVAL AND PAYMENT

Commissions are subject to a validation period to allow YGEIA to identify cancelled orders, refunds, chargebacks, fraudulent transactions, or other non-qualifying transactions.

Commissions will become payable only after the applicable order has been successfully completed and is no longer subject to cancellation, refund, or chargeback.

YGEIA will pay approved commissions according to the payment schedule and payment method made available through the YGEIA Affiliate Program.

YGEIA may establish a minimum payment threshold before commissions are released.

Any applicable taxes, fees, or payment-processing costs associated with receiving commissions are the responsibility of the Affiliate unless otherwise required by applicable law.

5. REFUNDS, CANCELLATIONS AND CHARGEBACKS

No commission will be payable on orders that are cancelled, refunded, reversed, fraudulent, or subject to a chargeback.

If a commission has already been paid for an order that is subsequently refunded, cancelled, reversed, or charged back, YGEIA may deduct the corresponding commission from future commission payments or otherwise recover the amount where permitted by applicable law.

6. AFFILIATE PROMOTION

Affiliates may promote YGEIA through legitimate channels including, but not limited to:

  • Social media
  • Websites and blogs
  • Content creation
  • Email marketing, where legally permitted
  • Personal recommendations
  • Affiliate links and referral codes
  • Other promotional channels approved by YGEIA

Affiliate content should accurately represent YGEIA and its products.

Affiliates must not make false, misleading, exaggerated, or unsupported claims about YGEIA, its products, their performance, benefits, or expected results.

Affiliates may only make claims that are supported by information provided or approved by YGEIA.

7. AFFILIATE DISCLOSURE

Affiliates must clearly disclose their relationship with YGEIA whenever required by applicable law, regulation, platform rules, or advertising standards.

For example, Affiliates may use clear language such as:

“I may earn a commission if you purchase through my link.”

or

“This post contains an affiliate link, and I may earn a commission from qualifying purchases.”

The disclosure should be clear, understandable, and reasonably close to the applicable recommendation, affiliate link, or promotional content.

Affiliates are responsible for ensuring that their promotional activities comply with applicable advertising and disclosure requirements.

8. PROHIBITED ACTIVITIES

Affiliates may not:

  1. Make false, misleading, deceptive, or unsupported claims about YGEIA or its products.
  2. Represent themselves as an employee, owner, official representative, or agent of YGEIA unless expressly authorized.
  3. Create websites, social media accounts, advertisements, or other materials that could reasonably be confused with official YGEIA channels.
  4. Purchase advertising using YGEIA trademarks or brand terms where prohibited by YGEIA.
  5. Engage in spam, unsolicited messaging, or other unlawful promotional activities.
  6. Use fraudulent, deceptive, automated, or artificial methods to generate clicks, traffic, referrals, or sales.
  7. Use bots, fake accounts, fake traffic, or other methods designed to manipulate affiliate tracking.
  8. Mislead customers about discounts, promotions, product availability, or pricing.
  9. Make medical, health, scientific, financial, or other regulated claims that have not been expressly authorized by YGEIA.
  10. Engage in any activity that may damage the reputation, goodwill, or integrity of YGEIA.

YGEIA may withhold or cancel commissions associated with prohibited or suspicious activity.

9. USE OF YGEIA BRAND AND CONTENT

YGEIA grants approved Affiliates a limited, non-exclusive, non-transferable, revocable permission to use YGEIA-approved logos, product images, product descriptions, promotional materials, and other brand assets solely for the purpose of promoting YGEIA through the Program.

Affiliates may not modify, reproduce, distribute, sell, license, or use YGEIA intellectual property for any unrelated purpose without prior written authorization.

All rights, title, and interest in the YGEIA name, trademarks, logos, product designs, images, content, and other intellectual property remain the property of YGEIA or its respective owners.

10. NO AUTHORITY TO REPRESENT YGEIA

Participation in the Program does not create an employment, partnership, joint venture, franchise, agency, or other formal business relationship between YGEIA and the Affiliate.

The Affiliate has no authority to make commitments, representations, warranties, or agreements on behalf of YGEIA.

11. CUSTOMER RELATIONSHIP

Customers referred through the Affiliate Program remain customers of YGEIA.

YGEIA is responsible for processing customer orders, payment, fulfillment, customer service, refunds, exchanges, and other customer-related matters according to YGEIA's applicable policies.

The Affiliate must not represent that it has authority to provide customer refunds, guarantees, warranties, or other commitments on behalf of YGEIA.

12. TERMINATION

Either YGEIA or the Affiliate may terminate participation in the Program at any time, subject to any applicable legal requirements.

YGEIA may immediately suspend or terminate an Affiliate's participation if YGEIA reasonably believes that the Affiliate:

  • Violated this Agreement;
  • Engaged in fraudulent or abusive activity;
  • Violated applicable laws or advertising requirements;
  • Misused YGEIA's intellectual property;
  • Engaged in conduct that may harm YGEIA's reputation; or
  • Otherwise acted in a manner inconsistent with the purpose of the Program.

Upon termination, the Affiliate must immediately stop representing themselves as a YGEIA Affiliate and stop using YGEIA promotional materials and brand assets.

Eligible commissions earned before termination may remain payable subject to validation and the terms of this Agreement.

13. MODIFICATION OF THE PROGRAM

YGEIA may modify, suspend, or discontinue any part of the Affiliate Program, including commission rates, payment procedures, eligibility requirements, or promotional rules.

Where reasonably practicable, YGEIA will provide notice of material changes.

Continued participation in the Program after a change becomes effective constitutes acceptance of the updated terms.

14. CONFIDENTIALITY

Affiliates may receive non-public information relating to YGEIA, its products, campaigns, pricing, promotions, customers, or business operations.

Affiliates agree not to disclose or misuse confidential information received from YGEIA except as necessary to participate in the Program.

15. LIMITATION OF LIABILITY

To the extent permitted by applicable law, YGEIA will not be liable for indirect, incidental, special, consequential, or punitive damages arising from participation in the Affiliate Program.

YGEIA does not guarantee any particular level of traffic, sales, income, or commission from participation in the Program.

Affiliate earnings depend on actual customer activity and qualifying sales.

16. INDEPENDENT RESPONSIBILITY

The Affiliate is responsible for complying with all laws, regulations, advertising requirements, tax obligations, and platform rules applicable to the Affiliate's promotional activities.

The Affiliate is also responsible for any taxes, reporting obligations, or other financial obligations arising from commissions received through the Program, except where YGEIA is legally required to withhold or report such amounts.

17. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of [Jurisdiction], without regard to its conflict-of-law principles.

Any dispute arising from or relating to this Agreement shall be subject to the applicable courts located in [Jurisdiction], unless otherwise required by applicable law.

18. ENTIRE AGREEMENT

This Agreement, together with any additional terms, policies, or guidelines expressly incorporated into the YGEIA Affiliate Program, constitutes the entire agreement between YGEIA and the Affiliate concerning participation in the Program.

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
